Terms of Use

1. Acceptance of Terms

By accessing or using BestieTMS ("the Platform"), a product of MaestroSAT (Pty) Ltd, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services. These terms apply to all users of the Platform.

2. Description of Service

BestieTMS is a multi-tenant tender management platform that helps South African organisations manage their tender, RFP, and RFQ pipelines. Our services include:

  • Tender, RFP, and RFQ tracking with statuses, milestones, and requirements
  • Secure document uploads with version history and soft-delete
  • Deadline alerts for closing-soon and overdue tenders
  • Team collaboration with role-based access and user invitations
  • Company-level data isolation across tenants
  • Activity logs providing a full audit trail of changes
  • Subscription management (where enabled) processed via Paystack

3. User Accounts

3.1 Company Registration

BestieTMS operates on a company-first model. To use the Platform, a company administrator must register on behalf of their organisation. During registration the company provides its legal name, work email domain, and administrator details. The email used by all future team members must match the company's verified domain.

3.2 Email Verification

All new accounts must verify their email address before gaining access to the Platform. Unverified accounts have limited functionality.

3.3 User Responsibilities

You agree to:

  • Provide accurate and complete information at registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised access
  • Accept responsibility for all activities under your account

3.4 Roles

The Platform supports multiple roles, including Company Administrator, Manager, and Member. Administrators may invite additional users, assign roles, deactivate users, and manage company-wide settings.

4. Tenant Isolation

BestieTMS is a multi-tenant platform. All tender data, documents, users, and activity logs are scoped to a single company tenant. Users from one company cannot access data belonging to another company. Platform administrators employed by MaestroSAT may access tenant data only where necessary to operate, support, or audit the Platform, and only in accordance with our Privacy Policy and applicable law.

5. Documents and Uploads

The Platform allows authorised users to upload documents in support of tenders, RFPs, and RFQs. Uploaded documents:

  • Are stored on secure server infrastructure controlled by your deployment
  • Are accessible only to authenticated users within the owning company tenant
  • Are streamed through an authenticated API route — documents are never publicly addressable
  • Support soft-delete: deleted documents are marked inactive and may be retained for audit purposes before being permanently removed

You represent and warrant that you have the right to upload any document you submit and that it does not infringe any third-party rights or contain unlawful content.

6. Subscriptions and Payments

Where subscription billing is enabled, payments are processed by Paystack, a third-party payment processor. By purchasing a subscription, you agree to Paystack's terms of service. BestieTMS does not store your payment card details. Subscription tiers, limits, and pricing are displayed at the time of purchase and may be updated with notice.

7. Data Protection and Privacy

7.1 POPIA Compliance

BestieTMS is designed to support compliance with the Protection of Personal Information Act, 2013 (POPIA). Personal information is processed for the purposes of providing the Platform, managing tenders, facilitating team collaboration, and meeting legal obligations. By using the Platform you consent to this processing.

7.2 Your Rights

You have the right to:

  • Access the personal information we hold about you
  • Correct inaccurate personal information
  • Request deletion of your personal information (subject to legal retention)
  • Object to processing in certain circumstances
  • Lodge a complaint with the Information Regulator of South Africa

8. Security

We implement appropriate technical and organisational measures, including:

  • HTTPS/TLS encryption for all data in transit
  • bcrypt password hashing — passwords are never stored in plaintext
  • JWT-based session management with refresh tokens delivered exclusively via httpOnly, SameSite-Strict cookies
  • Role-based access control at the application layer
  • Rate limiting on sensitive endpoints
  • Security headers including HSTS, X-Frame-Options, and Content-Type-Options
  • Full activity logging with an audit trail of changes

9. User Conduct

You agree not to:

  • Provide false or misleading information during registration
  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorised access to our systems or other tenants' data
  • Upload malware, viruses, or any malicious code
  • Scrape or harvest data from the Platform
  • Interfere with the proper functioning of the Platform
  • Violate any applicable laws or regulations

10. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of MaestroSAT (Pty) Ltd or its licensors and is protected by intellectual property laws. BestieTMS is a brand operated by MaestroSAT (Pty) Ltd. Documents uploaded by users remain the property of the uploading company.

11. Limitation of Liability

To the maximum extent permitted by law, BestieTMS and MaestroSAT (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including damages arising from tender outcomes, the accuracy of tender data, or decisions made based on information on the Platform.

12. Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or create risk to other users. You may request account deletion at any time by contacting us.

13. Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Continued use of the Platform after changes constitutes acceptance of the modified terms. We will notify users of material changes via email or through the Platform.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
